The A5X Funding Round Raised About US$70 Million to Challenge B3 in Derivatives, Not Equities

BRAZIL · MARKETS

Three things in the standard description of this company are wrong. The money is not one of them.

The A5X funding round announced on Monday, 14 September 2026, raised 360m reais. At an exchange rate of about 5.12 to the dollar that is roughly US$70m.

The valuation attached to it is 2.7bn reais, about US$525m. The company states this is a post-money figure, so the implied pre-money valuation is lower and has not been disclosed.

Who Put the Money In

Morgan Stanley, Goldman Sachs and Kaszek led the A5X funding round. They are the leads rather than the whole of it.

Existing holders also participated. Those include IMC, Jump Trading, Optiver, XTX Markets and ABN AMRO Clearing.

XP came in as a new investor by exercising a purchase option. Ideal, an Itaú Unibanco brokerage, has been an investor since 2024.

That list is the interesting part. It is dominated by market makers and high-frequency trading firms, the participants who would supply liquidity on day one.

Total raised across four rounds now exceeds 730m reais, about US$143m. The chief executive and co-founder is Carlos Ferreira Filho.

It Is Not a Stock Exchange

A5X is routinely described as a stock exchange challenger. Its own materials say it will begin operations focused on listed derivatives.

The planned products are derivatives on equity indices, single stocks, currencies, local interest rates and crypto assets. Equities trading is not the opening proposition.

That distinction is commercially decisive. B3’s profit is concentrated in listed derivatives, particularly index and rate futures, rather than in cash equities.

So a derivatives venue is the more serious challenge. Calling it a stock exchange understates what is being attempted and misdescribes what is being built.

The company is constructing its own central counterparty. It licenses trading and clearing technology from the London Stock Exchange Group and adds proprietary Brazilian infrastructure.

The Launch Has Slipped a Year

Monday’s announcement gives a launch in the second quarter of 2027. As recently as June 2026 the guidance was the fourth quarter of this year.

That is a two to three quarter slip disclosed inside a funding release. It is arguably the most newsworthy line in the document.

Delays at this stage of market infrastructure are common. Building a clearing house is a long exercise, and the A5X funding round buys time for it.

What the slip does change is the cash runway calculation. A venue with no revenue and a later start needs more capital, which is one reading of the round itself.

The Regulatory Question Nobody Answered

No source confirms that A5X has been authorised by Brazil’s securities regulator. The company said in late 2024 that it had submitted documentation.

Monday’s releases say the proceeds will cover regulatory capital. That phrasing is consistent with authorisation still being sought rather than granted.

A derivatives exchange with its own central counterparty needs two approvals in Brazil. The securities commission authorises the organised market and the central bank authorises the clearing and settlement system.

Neither has been announced. This newspaper is not saying authorisation has been refused, only that no one has said it has been given.

That is the single question that determines whether a 2027 launch is realistic. The funding announcement did not address it.

Why Anyone Is Trying

B3 has no domestic competitor in listed derivatives. Its position is close to a monopoly and its fee structure reflects that.

International market makers have funded competitor ventures in other jurisdictions for exactly this reason. Lower fees and a second venue improve their own economics.

That is why the shareholder register looks the way it does. The investors are also the intended customers.

B3 has not stood still. It launched a dollar-denominated Ibovespa index on the same day and will allow foreign depositary receipts into the index from 2027.

Whether an incumbent that adapts leaves room for a challenger is the open question. The answer arrives no earlier than the second quarter of 2027.
