Forward Industries Raises SkyAI Acquisition Offer To $2.13/Share

Forward Industries, Inc. (FWDI), a Solana treasury company, Tuesday said it has submitted an updated proposal to acquire SkyAI for $2.13 per share in a cash-and-stock deal.
The offer price represents a 50% premium to SkyAI's closing price of $1.42 on September 14, 2026. In June, Forward Industries hadsubmitted a proposal to acquire SkyAI for about $1.55 per share, which expired without a response from the SkyAI Board.
Under the new proposal, SkyAI stockholders can elect cash, Forward Industries common stock, or a mix of both. Each SkyAI share would be converted into the value of 0.306 Forward shares based on Forward's closing price of $6.95 on September 14, 2026.
ForwardIndustries has requested a response from the SkyAI Board by 5 p.m. ET on September 25, 2026.
On the Nasdaq, Forward Industries shares were down about 5% at $6.60, while SkyAI shares were down more than 4% at $1.35.
