Gibraltar’s Private Fund Regime, refined, responsive and robust

Reflecting on developments through 2025, a clear shift has emerged in how regulatory standards and legislation are designed and applied. While high-level initiatives in areas such as artificial intelligence, crypto-assets and anti-money laundering have broadly aligned across the EU and the US, meaningful divergence is increasingly evident at the operational level. Regulators are adopting different approaches to implementation, supervision and proportionality.
For Gibraltar, maintaining its status as a “triple-A” jurisdiction requires a careful balance. Robust governance standards are essential to international credibility, while modern fund managers increasingly demand operational agility and regulatory clarity. Gibraltar’s recent amendments to its private fund regime illustrate how these objectives can be achieved simultaneously.
The shift to independent administration
In May 2025, Gibraltar updated its private fund framework through amendments to the Financial Services (Alternative Investment Fund Managers) Regulations. These changes introduced two principal requirements: the appointment of a locally regulated fund administrator and the establishment of formal custody arrangements. Existing private funds benefit from a 12-month transitional period and, critically, the regulations allow private funds to apply for exemptions from specific requirements where justified.
This approach reflects the regulator’s willingness to consider individual circumstances and reinforces Gibraltar’s commitment to fit-for-purpose regulation. Rather than imposing prescriptive, one-size-fits-all rules, the framework has been developed in close consultation with industry participants and grounded in the realities of fund operations.
While some jurisdictions have responded by imposing audit requirements, Gibraltar has taken a different path by mandating independent, regulated fund administration
Moving beyond historical oversight
Historically, private funds have operated with minimal external oversight. The prevailing view was that participants were known to one another, sufficiently sophisticated, and capable of resolving matters privately. However, heightened global scrutiny around transparency, asset protection and AML standards has led many jurisdictions to reassess whether traditional private fund structures remain adequate.
While some jurisdictions have responded by imposing audit requirements, Gibraltar has taken a different path by mandating independent, regulated fund administration. This reflects a conscious move away from reliance on historical assurance towards continuous, operational oversight.
The annual audit has long been regarded as the primary investor safeguard, but it is inherently retrospective. It provides a snapshot of a fund’s financial position after the end of the reporting period. By contrast, an independent administrator is embedded in the day-to-day functioning of the fund, providing real-time oversight of its operations.
Real-time governance and operational integrity
Administrators maintain accounting records, process subscriptions and redemptions, and reconcile cash and trading positions with brokers and custodians on an ongoing basis. This continuous monitoring materially reduces operational risk and provides a level of assurance that a year-end audit alone cannot deliver.
By integrating governance directly into the operational lifecycle of the fund, Gibraltar’s approach promotes active oversight rather than reactive compliance, strengthening investor confidence without compromising efficiency.
Accuracy and independence in NAV calculation
The calculation of Net Asset Value is one of the most critical functions in fund administration, as it determines the price at which investors enter and exit a fund. Gibraltar’s regime places particular emphasis on the accuracy, timeliness and independence of this process.
Through electronic trade capture and three-way reconciliations between the manager, administrator and broker or exchange, an independent administrator ensures that all trading activity is fully reflected in the fund’s books and records. While ultimate responsibility for valuation remains with the governing body, delegating execution to an independent administrator provides tangible comfort that the process is insulated from conflicts of interest.
This is especially relevant for funds holding illiquid or hard-to-value assets. In such cases, administrators ensure that valuations are applied consistently in accordance with documented pricing policies approved by the board, supporting transparency and defensibility.
The middle-office advantage
Gibraltar’s framework also encourages the outsourcing of middle-office functions to administrators. These services typically include daily profit and loss reporting, risk analytics and collateral management. By leveraging specialist expertise, funds gain a layer of proactive oversight that sits between portfolio management and back-office processing.
This connectivity enhances responsiveness, enabling funds to react quickly to market volatility, liquidity pressures or regulatory developments while maintaining strong control discipline.
Sophisticated mechanics for equitable outcomes/h3>
An administration-led model also supports the accurate management of complex fee and equalisation mechanics. The fair allocation of performance fees across investors is mathematically demanding and relies on precise, ongoing record-keeping. Gibraltarbased administrators deploy specialist systems to automate these calculations, whether through a series-of-shares structure or an equalisation credit methodology, ensuring equitable outcomes and reducing operational risk.
Flexibility through exemption
To preserve proportionality, the regulations expressly empower the regulator to grant exemptions from the new requirements where appropriate. This flexibility may be particularly relevant for private fund vehicles used by family offices or similar arrangements. Such discretion is made possible by Gibraltar’s open, engaged regulatory culture and its emphasis on constructive dialogue with industry.
Looking ahead
As the transitional period concludes and the industry begins 2026, the focus of Gibraltar’s private fund sector is shifting decisively from historical compliance to active, independent oversight. By embedding regulated administration at the core of the private fund model, Gibraltar has reinforced its reputation as a refined, responsive and robust jurisdiction, well positioned to meet the expectations of the next generation of global fund managers.
